Prothentic Platform User Service Agreement

We would like to remind you (the "User") to carefully read this Prothentic Platform User Service Agreement (hereinafter referred to as the "Agreement") before registering as a user of the Prothentic Platform (hereinafter referred to as the "Platform"). Ensure that you fully understand each provision of this Agreement. Please read carefully and choose to accept or not accept this Agreement.

You can only become an officially registered user of the Prothentic Platform and enjoy various services provided by the Platform after agreeing to and confirming the terms of this Agreement and completing the registration process. Your actions of registering, logging in, and using the Platform will be regarded as acceptance of this Agreement (including any updates, revisions, or restatements thereof) and agreement to be bound by its terms. If you do not agree to this Agreement or have any questions about its terms, please immediately stop the registration process for Prothentic Platform users and consider not using the services of this website.

This Agreement stipulates the rights and obligations between Shanghai Wangfanxin Technology Co., Ltd. (hereinafter referred to as the "Company") and the User regarding the services of the Prothentic Platform (hereinafter referred to as the "Services"). "User" refers to individuals or entities that register, log in, and use product services. This Agreement may be updated, revised, or restated at any time, and the updated agreement terms will replace the original terms upon publication without further notice. Users can review the latest version of the agreement terms at the Company's official website [www.prothentic.com.cn\]. If you do not accept the modified terms after the agreement terms are amended, please immediately stop using the services provided by the Prothentic Platform. Continued use will be regarded as acceptance of the modified agreement.

1、Users must register a Prothentic Platform account before using the product services. The account should be registered with a mobile phone number. Users should use a mobile phone number that is not bound to any Prothentic Platform account and has not been banned by the Platform under this Agreement. Based on user needs or product requirements, the Company may change the account registration and binding methods without prior notice to users.

2、If the registration applicant has a history of being banned by the Prothentic Platform or is suspected of false registration and abusing another person's name, or any other unauthorized reasons, the Platform will reject the registration application.

3、Given the binding registration method for Prothentic Platform accounts, you agree that the Platform will allow your mobile phone number and device identification code and other information to be used for registration.

4、During user registration and product usage, the Prothentic Platform will collect personal information that can identify the user to contact them when necessary or provide a better user experience. Information collected by the Platform includes but is not limited to the user's phone number, name, company, position, and company email. The use of this information by the Prothentic Platform will be subject to the constraints of the user personal privacy information protection in Article III.

1、Once the user has successfully registered and become a user of the Prothentic Platform, they will receive a username and password and have the right to use their username and password to log in to the Platform at any time.

2、The user is fully responsible for the security of their username and password, as well as for all activities and events conducted under their username.

3、Users may not transfer or authorize others to use their Prothentic Platform username in any form.

4、Users must keep their password secure and not disclose it to others; all losses resulting from poor password security will be borne by the user.

5、If a user leaks their password, it may lead to adverse legal consequences. Therefore, regardless of the reason that puts the security of the user's password at risk, they should immediately contact Prothentic Platform customer service. The Company will do its best to protect the user's legitimate rights, but it does not guarantee any consequences.

1、The user represents that they are a civil subject with full civil capacity and have obtained all necessary authorizations to enter into this Agreement (if required), and have the ability to fulfill their obligations.

2、Users are obligated to provide their true information during registration and ensure the validity and security of their contact details, such as mobile number, name, and location, ensuring that the Platform staff can contact them through these means. Users are also obligated to promptly update relevant registration information when their information changes.

3、Any product-related information and content obtained by the user through the Prothentic Platform or other Company-related websites, platforms, or systems, including but not limited to learning videos, exercises, and related materials, are owned by the Company. Users may not use it for commercial purposes or secondary dissemination (whether for profit or not). If users violate this provision, the Company will immediately terminate its services to them and reserves all rights to pursue legal responsibilities.

4、Any content created, uploaded, copied, published, or disseminated by the user during the use of the Prothentic Platform, including but not limited to account avatars, names, user descriptions, and certification materials, or text, audio, images, videos, graphic messages, and relevant link pages, as well as other content generated using the account or product services, must not violate national laws and regulations, including but not limited to the following principles:

a.Violating the fundamental principles established by the Constitution;

b.Endangering national security, leaking state secrets, subverting state power, or undermining national unity;

c.Harming national honor and interests;

d.Inciting ethnic hatred, discrimination, or undermining national unity;

e.Undermining national religious policies, promoting cults, and feudal superstition;

f.Spreading rumors, disturbing social order, or undermining social stability;

g.Disseminating obscene, pornographic, gambling, violent, homicide, terroristic, or inciting criminal content;

h.Insulting or defaming others, infringing on the legitimate rights and interests of others; or

Containing other content prohibited by laws and administrative regulations or violating public order and morals.

5、Users may not use their Prothentic Platform account or product services to create, upload, copy, publish, or disseminate content that disrupts the normal operation of the Prothentic Platform or infringes on the legitimate rights and interests of other users or third parties:

a.Containing any sexual or sexually suggestive content;

b.Containing abusive, threatening, or intimidating content;

c.Containing harassment, spam, malicious information, or deceptive content;

d.Involving the privacy, personal information, or materials of others;

e.Infringing on others' reputation rights, portrait rights, intellectual property rights, trade secrets, and other legitimate rights;

f.Or containing other information that disrupts normal product operation and infringes on the legitimate rights and interests of other users or third parties.

1、The Prothentic Platform has the right to terminate services to users under the following circumstances:

a.If the user violates the relevant provisions of this Agreement, the Prothentic Platform has the right to terminate services to that user;

b.If the user registers directly, indirectly, or in the name of another person, the Prothentic Platform has the right to immediately terminate services to that user upon discovery;

c.If the Prothentic Platform attempts to contact the user through the information provided and finds that the contact details provided at registration are invalid or unreachable, and the user fails to provide new contact details within three working days after being notified by other means, the Company has the right to terminate services to that user;

d.Users must not artificially inflate usage through programming or manual means. If the Platform discovers any cheating behavior, it will immediately terminate services and has the right to withhold any funds in the account;

e.If the Prothentic Platform discovers that the user has provided false data or information or any content that violates the provisions of Article IV of this Agreement, it has the right to immediately terminate services to that user;

f.If the terms of this Agreement are terminated or updated and the user expressly refuses to accept the new service terms;

g.And other situations deemed necessary by the Company to terminate services.

2、After termination of services, the Prothentic Platform has no obligation to retain any information in the user's original account or related to it, or to forward any unread or unsent information to the user or third parties.

3、Users understand and agree that even after this Agreement is terminated and the user's services are terminated, the Prothentic Platform still has the right to:

a.Continue to retain your user information;

b.Continue to assert any liabilities incurred during the user's use of the Prothentic Platform services due to violations of laws and regulations or this Agreement.

1、Given the nature of online services, users must agree that the Prothentic Platform may change or interrupt some or all online services and delete (no longer save) any materials submitted by users during use without notifying users and without assuming any liability to any user or any third party.

2、The Prothentic Platform may periodically or irregularly inspect or update the platform providing online services. In case of interruptions in online services for a reasonable period due to such situations, the Platform will not assume any responsibility.

1、If the Prothentic platform has clearly indicated a change in its service delivery method and reminded users of the necessary precautions, any consequences arising from users' failure to follow such instructions will be borne solely by the users.

2、Users explicitly agree that they bear full responsibility for the risks associated with their use of the Prothentic platform, and any consequences resulting from such use are also the user's sole responsibility.

3、Users agree to safeguard and protect the interests of the Prothentic platform and other users. If the user engages in illegal, false, inappropriate actions or infringes on the legal rights of third parties while using the Prothentic platform, or if the user breaches any provision of this agreement, thereby causing loss to the Prothentic platform or any other third party, the user agrees to bear the responsibility for compensation of such losses.

1、Scope of Application (collectively referred to as "User Information"):

a.Personal registration information provided by users when registering a Prothentic platform account;

b.Data automatically received and recorded by the Prothentic platform from the user's browser during visits to the platform, including but not limited to IP addresses and user-requested page access records (such as cookies, localStorage, sessionStorage, etc.);

c.Any content or materials uploaded by users on the digital footprint platform, such as learning videos, exercises, etc.

2、Use of Information:

a.The company is committed to protecting users' personal information and privacy. When users use the platform's services, they agree to the company's collection, storage, use, disclosure, and protection of their personal information under the terms of this agreement. To better serve users, Prothentic platform may use user information to provide services, including but not limited to sending users product and service updates or sharing information with platform partners so they can send relevant product and service information to users. Users acknowledge and permit the company and the Prothentic platform to use relevant information as described in this agreement.

b.Unless otherwise stated in this agreement or with prior permission from the user, the Prothentic platform will not sell or lend users' personal information to any third party.

c.The Prothentic platform also prohibits any third party from collecting, editing, selling, or distributing users' personal information by any means. If users engage in such activities, Prothentic platform reserves the right to immediately terminate the service agreement with the user and permanently suspend their account.

3、Disclosure of Information:

a.Disclosure to third parties with the user's consent;

b.Disclosure to third parties or administrative or judicial institutions as required by relevant laws or upon the request of such institutions;

c.Disclosure to third parties or administrative or judicial institutions in the event of a user violating laws, regulations, or platform policies;

d.Disclosure to third parties when it is necessary to share user information in order to provide requested products and services;

e.Other disclosures deemed appropriate by the Prothentic platform in accordance with laws or platform policies;

f.Any banking information provided by users to the Prothentic platform will be kept confidential, and the platform will strictly comply with confidentiality obligations.

1.The Prothentic platform solemnly reminds users to pay attention to the clauses in this agreement that exempt the company and the platform from liability and limit user rights. Users should read them carefully and consider the associated risks. Minors should read this agreement under the supervision of their legal guardians.

2.The validity, interpretation, and resolution of disputes arising from this agreement are governed by the laws of the People's Republic of China. In the event of any disputes or controversies between the user and the company, both parties shall first attempt to resolve them amicably. If negotiation fails, the user agrees to submit the dispute to the court with jurisdiction over the company's domicile.

3.If any provision of this agreement is found invalid or unenforceable for any reason, the remaining provisions shall remain effective and binding on both parties.

4.The final interpretation of this agreement belongs to the company, which reserves the right to amend and explain the agreement.

5.This agreement shall take effect on January 1, 2022.
